Terms & Conditions – Grexgo

1. Definitions

• Platform: The Grexgo web application enabling group booking requests, negotiations, and communication.
• Hotel: Any accommodation provider registered on the Platform.
• Agency: A travel agency or similar professional entity using the Platform to request and manage group bookings.
• Company / Client: Corporate users submitting group accommodation requests.
• Request: A group booking inquiry submitted by an Agency or Company to multiple Hotels.
• Offer: A proposal, quote, or response provided by a Hotel through the Platform.
• Agreement: A contract or booking arrangement concluded directly between Hotels and Users.

2. Purpose of the Platform

Grexgo provides a B2B digital solution that allows:

• Agencies and companies to send detailed group requests to multiple hotels.
• Hotels to receive, manage, and respond to these requests.
• Both parties to negotiate and share documents through a centralized interface.

Grexgo does not act as a travel agency, does not guarantee availability, and
is not a contracting party in any booking agreement.
All commercial transactions, contracts, and payments occur directly between the Users.

3. User Accounts

3.1 Registration

To access the Platform, Users must create an account and provide accurate, up-to-date information.

3.2 Account Responsibility

Users are responsible for:

• Maintaining confidentiality of their login credentials.
• Ensuring account access is limited to authorized personnel.
• Any activity performed under their account.

Grexgo cannot be held liable for unauthorized use due to weak password management or sharing of credentials.

3.3 Account Termination

We may suspend or delete an account if:

• False, incomplete, or fraudulent information is provided.
• These Terms are violated.
• Platform abuse or suspicious activity is detected.

Users may request account deletion at any time by contacting:

4. Use of the Platform

Users agree to:

• Use Grexgo for legitimate business purposes.
• Not engage in misuse, fraud, harassment, or destabilization of the Platform.
• Not extract, scrape, or copy Platform data without permission.
• Not upload illegal or harmful content.
• Not attempt to bypass security or technical measures.

Grexgo may monitor usage to prevent abuse and ensure platform integrity.

5. Requests & Offers

5.1 Submission of Requests

Agencies and companies may send group booking requests to selected hotels via the Platform.
Users must ensure that all details provided (dates, numbers, requirements, budgets) are accurate.

5.2 Hotel Offers

Hotels may respond to requests by sending offers that include:

• Price.
• Availability.
• Booking conditions.
• Cancellation policies.
• Payment terms.

Offers provided on the Platform are not binding until confirmed directly between Users.

5.3 Contracting

Grexgo is not a party to any agreement.
Contracts, confirmations, or payment arrangements occur only between Hotels and Agencies/Companies.
Grexgo does not collect or process booking payments.

6. Fees & Billing

Unless explicitly stated otherwise:

• Grexgo may offer free and paid plans for Users.
• Any applicable fees will be displayed during subscription or onboarding.
• Fees are invoiced by Grexgo Group SAS.
• Payments are non-refundable unless required by law.

Grexgo does not charge commissions on hotel bookings unless agreed in a specific partnership contract.

7. Document Management

Users may upload or exchange files (contracts, offers, documents). They must ensure that such content:

• Does not contain viruses or harmful code.
• Does not infringe copyright.
• Is used only for legitimate business purposes.

Grexgo does not verify or guarantee the accuracy of such documents.

8. Platform Availability

We aim to provide continuous access to the Platform, but we do not guarantee:

• Uninterrupted service.
• Absence of downtime.
• Complete security.
• Freedom from errors or bugs.

Grexgo may temporarily suspend access for maintenance, updates, or technical reasons.
We are not responsible for interruptions due to:

• Internet issues.
• Third-party hosting failures.
• Force majeure events.

9. Intellectual Property

All elements of the Platform (software, design, interface, database, content, trademarks, logos)
are the exclusive property of Grexgo Group SAS.

Users may not:

• Copy, modify, reverse engineer, or reproduce any part of the Platform.
• Use Grexgo trademarks without written permission.
• Create competing services using Grexgo data or code.

10. Liability

Grexgo acts only as a technological intermediary.
We are not liable for:

• Disputes between Users.
• Incorrect information provided by Hotels, Agencies, or Companies.
• Failure or cancellation of bookings.
• Financial losses, missed opportunities, or indirect damages.
• Data deleted by Users or third-party errors.
• Any contract, offer, or agreement concluded between Users.

Users are solely responsible for their interactions and negotiations.

11. Data Protection & Privacy

Personal data is processed in accordance with the GDPR (EU General Data Protection Regulation) and applicable
French and EU laws.

Users can consult the detailed Privacy Policy for information about:

• Data categories collected.
• Legal basis for processing.
• Retention periods.
• Rights (access, rectification, deletion, portability).
• Use of cookies.
• Security measures.

12. Cookies

The Platform uses cookies to enable core features, improve performance, personalize experience,
and provide analytics. Users may configure cookie settings via their browser or Grexgo’s cookie banner.

13. Third-Party Services

Grexgo may integrate third-party tools (e.g., communication services, document storage, analytics).
We are not responsible for their content, their availability, or their terms and policies.
Users must comply with the conditions of these external services.

14. Changes to the Terms

Grexgo reserves the right to update these Terms at any time.
Users will be informed of significant changes via the Platform or email.
Continued use after updates implies acceptance of the new Terms.

15. Applicable Law & Jurisdiction

These Terms are governed by French law.
Any dispute related to use of the Platform shall be submitted to the exclusive jurisdiction of
the competent courts in France, unless mandatory legal provisions require otherwise.
